Customer Terms & Conditions

Unless otherwise stated in a quotation, purchase order acknowledgment, or separate written agreement issued by Veteran Wire Systems LLC, the following terms apply to all orders placed with Veteran Wire Systems LLC.

1. Build-to-Print Manufacturing

Veteran Wire Systems manufactures products according to customer-provided drawings, specifications, bills of material, and other technical requirements.

Veteran Wire Systems is a build-to-print manufacturer and does not assume design authority or responsibility for the adequacy, accuracy, performance, regulatory compliance, or intended use of customer-supplied designs.

2. Order Acceptance

All purchase orders are subject to review and written acceptance by Veteran Wire Systems.

By issuing a purchase order against a Veteran Wire Systems quotation, the customer accepts these Terms and Conditions of Sale unless different terms are expressly agreed to in writing by an authorized representative of Veteran Wire Systems.

3. Pricing and Quotations

All prices are stated in U.S. dollars unless otherwise specified.

Quotations are valid for 30 days from the date of issue and may be revised after that period. Pricing is based on the quantities, requirements, schedules, and assumptions stated in the quotation. Changes to customer requirements may result in revised pricing and delivery schedules.

4. Payment Terms

Unless otherwise agreed in writing, a 50% down payment is due upon purchase order acceptance. The remaining balance is due within 15 days of the invoice date.

A service charge of 1.5% per month may be applied to past-due balances. Veteran Wire Systems may withhold work or shipment when an account has an overdue balance.

The customer agrees to pay reasonable collection costs, including attorney fees not exceeding one-third of the outstanding balance, if an account is referred for collection.

5. Delivery and Risk of Loss

Unless otherwise stated in writing, all shipments are FOB Origin. Title and risk of loss transfer to the customer when the goods are delivered to the carrier.

Veteran Wire Systems recommends that customers obtain appropriate shipping insurance through their selected carrier.

Quoted delivery dates are estimates based on information available at the time of quotation. Delivery schedules may be adjusted due to changes in requirements, material availability, customer delays, force majeure events, or circumstances beyond the reasonable control of Veteran Wire Systems.

6. Returns

No goods may be returned without a Return Material Authorization, or RMA, issued by Veteran Wire Systems.

Returned goods must reference the applicable RMA number and must be received within 30 days of RMA issuance. Unauthorized returns or returns received after the applicable period may be refused.

7. Warranty

Veteran Wire Systems warrants that products manufactured by Veteran Wire Systems will be free from defects in materials and workmanship for 12 months from the date of shipment.

This warranty applies only to materials and workmanship supplied by Veteran Wire Systems. It does not apply to customer-supplied materials, customer-supplied designs or drawings, or components procured to customer-directed specifications.

Veteran Wire Systems will, at its sole discretion, repair or replace products determined to be defective under this warranty.

This warranty does not cover:

  • Normal wear and tear

  • Misuse, abuse, or improper storage

  • Unauthorized repair or modification

  • Improper installation or integration

  • Damage occurring after delivery

  • Failures resulting from customer-supplied designs, materials, or requirements

Veteran Wire Systems is not responsible for incidental, consequential, special, or punitive damages arising from defective goods.

8. Changes

Any requested change to drawings, specifications, quantities, materials, testing requirements, documentation, delivery schedules, or other order requirements must be submitted in writing.

Veteran Wire Systems may revise pricing, lead time, and other terms to account for the effect of the requested change. Work affected by a change may be paused until the revised requirements are approved.

9. Cancellation

Standard purchase orders cancelled more than three business days after issuance may be subject to a cancellation charge of up to 50% of the purchase order value to cover materials procured, labor performed, production planning, and other costs incurred.

Expedited orders cancelled more than 24 hours after issuance may be subject to the same cancellation charge.

Cancellations submitted within the applicable period will generally not incur a cancellation fee. However, custom, nonreturnable, or already-procured materials may be charged to the customer regardless of cancellation timing.

10. ITAR and Export Controls

Veteran Wire Systems LLC is registered with the U.S. Department of State Directorate of Defense Trade Controls and operates in accordance with applicable International Traffic in Arms Regulations requirements.

The customer is responsible for identifying any technical data, drawings, specifications, products, or materials controlled under ITAR, the Export Administration Regulations, or other applicable export-control laws before providing them to Veteran Wire Systems.

ITAR-controlled technical data received by Veteran Wire Systems will be maintained within an encrypted, access-controlled environment and limited to authorized U.S. persons as required.

The customer shall not provide classified information to Veteran Wire Systems unless an appropriate written agreement, security authorization, and facility clearance are in place.

The customer remains responsible for obtaining any authorization required for the export, re-export, release, or transfer of controlled goods or technical data.

11. Confidentiality and Intellectual Property

Veteran Wire Systems recognizes that customer-supplied drawings, specifications, bills of material, and technical data may contain proprietary or confidential information.

Veteran Wire Systems will:

  • Use such information only to quote, manufacture, inspect, test, and deliver the customer’s order

  • Protect the information using reasonable physical, electronic, and procedural safeguards

  • Restrict access to personnel and approved suppliers with a legitimate need to know

  • Not disclose the information to a third party without prior written authorization, except as required by law or regulation

These confidentiality obligations survive the completion or cancellation of the applicable order.

The customer retains ownership of its drawings, designs, specifications, and other intellectual property. Nothing in these terms transfers ownership or grants Veteran Wire Systems a license beyond what is reasonably necessary to fulfill the order.

12. Limitation of Liability

To the fullest extent permitted by law, Veteran Wire Systems’ total liability arising from or relating to a purchase order shall not exceed the total amount paid or payable under that purchase order.

Veteran Wire Systems shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of use, production delays, or business interruption, regardless of the legal theory asserted and even if advised of the possibility of such damages.

13. Indemnification

The customer agrees to indemnify, defend, and hold harmless Veteran Wire Systems LLC and its members, employees, representatives, and agents from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Customer-supplied designs, drawings, specifications, or materials

  • The installation, integration, modification, or use of delivered products

  • The customer’s finished system or end application

  • The customer’s violation of applicable laws or regulations

  • Inaccurate, incomplete, or noncompliant information provided by the customer

14. Governing Law and Venue

These Terms and Conditions of Sale and all transactions with Veteran Wire Systems LLC shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

Any legal action arising from these terms or an associated purchase order shall be brought in a court of competent jurisdiction located in Denver County, Colorado.

15. Order of Precedence

In the event of a conflict between documents, the following order of precedence applies unless otherwise agreed in writing:

  1. A separately executed agreement signed by both parties

  2. Veteran Wire Systems’ written purchase order acknowledgment

  3. Veteran Wire Systems’ quotation

  4. These Terms and Conditions of Sale

  5. The customer’s purchase order

Customer terms that conflict with or add to these terms are rejected unless expressly accepted in writing by an authorized representative of Veteran Wire Systems.
